- Acceptance of Terms
By purchasing, installing, or using any products from JMA Remedies, the customer (“Client,” “You”) agrees to be bound by these Terms and Conditions. These terms supersede any conflicting terms in a purchase order unless expressly agreed upon in writing by JMA Remedies.
- Intended Use & Professional Use Only
Regulatory Classification: JMA Remedies products are medical devices regulated by applicable health authorities (e.g., CDSCO, FDA, EMA).
Professional Use: Unless explicitly labeled for “Over-the-Counter” (OTC) or home use, products are intended for use only by licensed healthcare professionals.
Compliance: You agree to use the devices strictly in accordance with the Instructions for Use (IFU) provided. Misuse or unauthorized modification voids all warranties and releases JMA Remedies from liability.
- Orders and Pricing
Order Acceptance: All orders are subject to acceptance by JMA Remedies. We reserve the right to limit quantities or refuse service.
Price Changes: Prices are subject to change without notice. Quotations are typically valid for 30 days unless otherwise stated.
Taxes: All prices are exclusive of VAT, GST, or other applicable taxes and duties unless otherwise specified.
- Delivery and Risk of Loss
Shipping Terms: Unless otherwise agreed, products are shipped EXW (Ex Works) or FOB (Free on Board).
Title Transfer: Title to the products and the risk of loss pass to the Client upon delivery to the carrier.
Delayed Delivery: JMA Remedies is not liable for delays caused by customs, logistics disruptions, or “Force Majeure” events (e.g., pandemics, natural disasters).
- Intellectual Property
Ownership: All software, proprietary designs, trademarks, and patents associated with JMA Remedies products remain the sole property of JMA Remedies.
No Reverse Engineering: The Client shall not decompile, disassemble, or reverse engineer any hardware or software provided by JMA Remedies.
- Limitation of Liability
Important Note: To the maximum extent permitted by law, JMA Remedies shall not be liable for any indirect, incidental, or consequential damages (including loss of profit or data) arising out of the use or inability to use the device. Our total liability for any claim shall not exceed the amount paid for the specific product that gave rise to the claim.
- Indemnification
The Client agrees to indemnify and hold JMA Remedies harmless from any claims, damages, or legal fees resulting from:
The Client’s failure to train personnel on the proper use of the device.
Unauthorized modifications made to the device.
Any use of the device outside of its cleared indications.
- Warranty and Technical Support
Standard Warranty: Products are covered by a limited warranty against manufacturing defects for a period of 12 months (or as specified in the product manual).
Exclusions: The warranty does not cover normal wear and tear, accidental damage, or use in environments not meeting the product’s technical specifications.
- Compliance with Laws (Anti-Bribery)
Both parties agree to comply with all applicable anti-corruption laws, including the Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act, ensuring no improper payments are made to healthcare professionals or government officials to influence the purchase of JMA Remedies products.
- Governing Law & Dispute Resolution
These Terms shall be governed by the laws of Gujarat India. Any disputes arising shall be settled through binding arbitration in Ahmedabad in accordance with the rules of the International Chamber of Commerce (ICC).
